Terms of Service

These Terms of Service ("Terms") govern your use of the Sales Tracker Pro software and related services ("Service") provided by ACS Solutions, operated by Alberti Custom Software Solutions ("Company", "we", "us", "our"). By subscribing to or using the Service, you ("Client", "you", "your") agree to be bound by these Terms.

1. Service Description

ACS Solutions provides a Discord-based sales tracking bot and associated dashboard tools that automate sales reporting, leaderboard generation, and team performance analytics. The Service is delivered as a hosted software solution managed and maintained by the Company.

2. Subscription & Billing

All subscriptions are billed on a recurring basis (monthly or quarterly) through Stripe, our third-party payment processor.
By subscribing, you expressly authorize recurring charges to your payment method at the agreed-upon interval and amount.
Subscription fees are due in advance at the start of each billing cycle.
All prices are listed in USD.
You are responsible for keeping your payment information current. Failed payments may result in service suspension.

3. No Refund Policy

All subscription fees are non-refundable. Once a payment has been processed for a billing cycle, no refunds or credits will be issued for that period, including partial months or quarters. This applies regardless of usage level during the billing period.

If you cancel your subscription, you will retain access to the Service through the end of your current paid billing period. No pro-rated refunds will be provided for unused time.

4. Chargebacks & Payment Disputes

Initiating a chargeback or payment dispute with your bank or credit card company instead of contacting us directly constitutes a breach of these Terms.

If you have a billing concern, you agree to contact ACS Solutions directly before initiating any dispute with your financial institution.
In the event of a chargeback filed after service has been delivered, you remain liable for the full amount of the charge plus any fees incurred by ACS Solutions as a result of the dispute.
ACS Solutions reserves the right to immediately suspend or terminate your access upon receipt of a chargeback notification.
We maintain detailed records of all service delivery, account activity, and client communications which may be submitted as evidence in any dispute.

5. Cancellation

You may cancel your subscription at any time by contacting ACS Solutions directly or through your Stripe billing portal.
Cancellation takes effect at the end of the current billing period. You will not be charged for subsequent periods after cancellation.
No refunds are issued for the remaining time in a current billing period upon cancellation.
Upon cancellation, your data may be retained for up to 30 days, after which it may be permanently deleted.

6. Service Availability

The Service is provided on a best-effort basis. While we strive for high availability, we do not guarantee 100% uptime.
Scheduled maintenance, server updates, or third-party outages (including Discord, Stripe, or hosting providers) may temporarily affect availability.
Temporary service interruptions do not entitle the Client to refunds or credits.

7. Intellectual Property

All software, code, designs, and related materials comprising the Service are the exclusive property of ACS Solutions.
Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for the duration of your active subscription.
You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service.
You may not resell, sublicense, or provide access to the Service to third parties without written consent from ACS Solutions.

8. Client Responsibilities

You are responsible for ensuring that your team members use the Service appropriately.
You are responsible for the accuracy of sales data entered by your agents.
You agree not to use the Service for any unlawful purpose or in violation of Discord's Terms of Service.
You are responsible for maintaining the security of your Discord server and any credentials related to the Service.

9. Data & Privacy

ACS Solutions collects and processes sales data, Discord user IDs, and display names as necessary to provide the Service.
We do not sell or share your data with third parties beyond what is necessary for service operation (e.g., Stripe for payment processing).
Data is stored on secure cloud servers. While we take reasonable measures to protect your data, we cannot guarantee absolute security.

10. Limitation of Liability

The Service is provided "as-is" and "as-available" without warranties of any kind, express or implied.
ACS Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
Our total liability for any claim related to the Service shall not exceed the amount you paid in subscription fees during the three (3) months preceding the claim.
ACS Solutions is not responsible for lost sales data resulting from user error, Discord outages, or events beyond our reasonable control.

11. Termination

ACS Solutions reserves the right to suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or abusive behavior.
Upon termination for cause, no refund will be issued for the current billing period.

12. Modifications to Terms

ACS Solutions reserves the right to update these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation between the parties.
